It is mandatory for the below mentioned companies to appoint Managerial Personnel: a. All Listed Companies; b. Every Public Company having a Paid-Up Share Capital of Rs. 10 Crores or more. Appointment of a Managerial Personnel and their remuneration should be reported to the Registrar of Companies.
1. Drafting of Notice of Board Meeting, Agenda, Notes to Agenda, Draft Resolution, Minutes. 2. Drafting of Notice of General meeting, Agenda, Notes to Agenda, Draft Resolution, Minutes. 3. Drafting of Agreement for appointment of Managerial Personnel. 4. Filing of Form MGT-14 with the ROC within 30 days of passing resolution. 5. Filing of Form DIR 12 with the ROC within 30 days of passing resolution. 6. Filing of Form MR-1 with the ROC within 60 days of Board Resolution. 7. Drafting of disclosures u/s 184 for the new Director about his appointment, to other companies. 8. Preparation of Disclosures - Form MBP-1 & Form DIR -8.
1. Certified extract of Board Resolution passed for appointment of Managerial Personnel. 2. Certified extract of the General Meeting Resolution passed. 3. Consent letter from the Director. 4. Certified copy of the agreement or the terms and conditions on which the MD is proposed to be appointed. 5. Appointment letter.
